Companies
involved in either side of an acquisition need to pay close attention
to the rules governing the accounting for such a transaction.
Several months ago, the US-based Financial Accounting Standards
Board (FASB) and UK-based International Accounting Standards Board
(IASB) each issued new proclamations making meaningful changes
to those rules. This audio conference will review highlights of
those changes. It will give any management team considering a
purchase or a sale an updated awareness of particular aspects
of a potential transaction that might need to be re-thought because
of those changes. The changes take effect for transactions that
close after July 1, 2008 (IASB) or December 31, 2008 (FASB). Thus,
managers need to consider the changes now for any transaction
that is not already well underway and scheduled to close before
those dates.
This audio
conference will address:

confluence of FASB and IASB standards.
- Background
and highlights of the existing rules governing the accounting
for business combinations.

of the new rules from the FASSB and IASB.

problematic issues that might need to be re-considered in light

Speaker
biography:
In addition
to participating in Fairmount's healthcare industry investment
banking activities, Mr. Martorelli contributes to the firm's marketing
and business development efforts with periodic industry reports
and conference presentations. For most of the past decade, he
has focused those writing and speaking efforts on pharmaceutical
services companies, including those providing tools and technologies
used in pre-clinical and clinical research functions.
Prior to PMG
Capital, Mr. Martorelli spent more than ten years at Janney Montgomery
Scott as a research analyst covering companies in various segments
of the health care industry. He received both a BS in Business
Administration and a Masters in Business Administration (MBA)
from Drexel University. For the past several years, Michael Martorelli
has taught graduate investment courses as a member of Drexel's
adjunct faculty. He is a Chartered Financial Analyst (CFA) and
a member of both the CFA Institute and the CFA Society of Philadelphia.
